Terms of Service
AwardEn Response Terms of Service
Effective 20 October 2026
These Terms of Service (the "Terms") are a binding agreement between Copper Forge Software Solutions LLC, a Montana limited liability company, which provides AwardEn Response ("we", "us" or "our"), and the business entity that subscribes to or uses AwardEn Response ("Customer", "you" or "your"). By creating an account, clicking "I agree", subscribing to a Plan, or accessing or using the Service, you accept these Terms. If you do not agree, do not use the Service.
These Terms are for business use. The Service is offered to organisations, not consumers. By accepting, you represent that you are at least 18 years old and are authorized to bind the organisation you represent, and that organisation is the Customer.
1. Definitions
"Service" means the AwardEn Response software-as-a-service application, including the Dashboard, Opportunities, My Work, Knowledge, Competitors, Settings and Implementation areas, and related features we make available.
"Authorized User" means an individual (such as an employee or contractor of Customer) whom Customer permits to use the Service under its account, subject to the seat limits of its Plan.
"Customer Content" means all data, documents and materials Customer or its Authorized Users upload to or create in the Service, including uploaded opportunity documents (RFPs, RFIs, security questionnaires, DDQs and vendor assessments), Knowledge Records, competitor materials, writing and brand-voice settings, and organisation profile information.
"Knowledge Record" means an item in Customer's knowledge library used as approved source material for generating responses.
"Output" means the AI-assisted drafts, extracted requirements, citations, summaries, competitive-intelligence notes and other results the Service generates from Customer Content.
"Plan" means the subscription tier Customer selects (Basic, Pro or Business), with its fees, monthly opportunity quota and seat limit.
"Opportunity" means a single RFP, RFI, questionnaire or assessment response worked on in the Service, which may include up to two documents. Consumption of Customer's monthly quota is measured as described in Section 4.
2. The Service and license to use it
Subject to these Terms and payment of applicable fees, we grant Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the subscription term for Customer's internal business purposes, up to the quota and seat limits of its Plan.
Restrictions. Customer will not, and will not permit any Authorized User or third party to: (a) copy, modify or create derivative works of the Service; (b) reverse engineer, decompile or attempt to derive source code, except to the extent this restriction is prohibited by law; (c) resell, sublicense, rent or provide the Service to third parties as a service bureau; (d) access the Service to build a competing product; (e) circumvent usage limits, quotas, seat caps or security controls; (f) upload malicious code or interfere with the Service's operation; or (g) use the Service in violation of law or these Terms.
3. Accounts, Authorized Users and organisations
Customer is responsible for maintaining the confidentiality of its account credentials and for all activity under its account, including the acts and omissions of its Authorized Users. Customer will ensure Authorized Users comply with these Terms and will promptly notify us of any unauthorized use of its account. Sign-in is by email address and password, and Authorized Users may add multi-factor authentication.
4. Plans, quotas and seat limits
The Service is offered in subscription Plans with different monthly opportunity quotas and seat limits. Current Plans are Basic at $99 a month, Pro at $199 a month and Business at $399 a month. Current pricing and limits are shown on our pricing page and at checkout, and the quota and seat limit for Customer's Plan are those shown at the time of purchase and in the Service.
How the opportunity quota is measured. An Opportunity counts against Customer's monthly quota once, when its first draft completes successfully. Re-running or re-drafting the same Opportunity does not count again, and failed runs do not count. Quotas reset each billing period and do not roll over. When Customer reaches its quota, the Service will not start drafting on new Opportunities until Customer upgrades its Plan or the period resets; work already drafted remains available to review, approve and export.
Seat limits. Each Plan permits a maximum number of Authorized Users, including pending invitations. Customer must stay within the seat limit for its Plan or upgrade to a Plan with a higher limit.
Usage limits. To protect the Service for all customers, we may apply reasonable limits to uploads and AI processing per organisation, such as a monthly allowance for adding knowledge. We will show any limit that applies in the Service.
5. Fees, billing and refunds
Billing in advance. Subscription fees are billed monthly in advance by card. Unless stated otherwise at checkout, Customer is charged when it subscribes and the subscription begins immediately.
Automatic renewal. Subscriptions renew automatically each month at the then-current rate unless cancelled before the end of the current billing period from Settings, Billing in the Service.
Refunds. If Customer asks within 3 days of its first payment, we will refund that payment in full. Otherwise, fees already paid are non-refundable except where required by law, and we do not refund partial months. We may, at our discretion and without obligation, issue a refund in individual cases.
Promotional access. We may offer access at no charge for a stated period, for example through a design-partner or promotion code. When that period ends, the account pauses: Customer can still sign in and see its work, but new drafting, AI features and uploads stop until Customer chooses a Plan and pays. Nothing is deleted because access paused.
Plan changes. Upgrades take effect immediately, and Customer is charged the prorated difference at the time of the upgrade. Downgrades take effect at the end of the current billing period; downgrading does not restore Opportunities already used and does not entitle Customer to a refund for the current period.
Payment processor. Payments are processed by our third-party payment processor, Stripe. We do not collect or store full payment-card numbers. Customer authorizes us and our processor to charge the payment method on file for all applicable fees.
Taxes. Fees are exclusive of taxes. Customer is responsible for any sales, use, VAT or similar taxes that apply to its purchase, excluding taxes on our net income.
Late or failed payment. If a charge fails, our processor may retry it. If payment is not resolved, we may suspend access until it is, or terminate the subscription.
Price changes. We may change fees. A change applies from the next renewal after we give Customer at least 30 days' notice.
6. Customer Content and your responsibilities
Ownership. As between the parties, Customer owns all right, title and interest in Customer Content. We do not claim ownership of Customer Content.
License to us. Customer grants us a worldwide, non-exclusive license to host, copy, process, transmit and display Customer Content solely to provide, maintain, secure and support the Service for Customer, including sending Customer Content to our AI subprocessors to generate Output as described in Section 7. This license lasts only as long as needed to provide the Service and is subject to Section 8 (Confidentiality).
Your responsibilities and representations. Customer represents and warrants that it has all rights necessary to upload and use Customer Content in the Service and to grant the license above, and that Customer Content and its use of the Service do not infringe or violate any third party's intellectual property, privacy, confidentiality or other rights, or any law or contractual obligation (for example, obligations in an RFP or a non-disclosure agreement governing materials Customer uploads).
Competitive intelligence content. If Customer uses competitive-intelligence features, Customer directs us to retrieve publicly available information about competitors Customer identifies, and Customer may upload competitor materials (including documents Customer has lawfully obtained, such as through public-records requests). Customer represents that it has the legal right to provide those materials and to have us process them, and that doing so does not violate any law or third-party right. The feature retrieves only publicly accessible content and is designed to respect website access controls such as robots.txt. Customer is solely responsible for its selection of competitors and materials and for its use of the resulting Output.
7. AI features and Output: important disclaimers
READ THIS SECTION CAREFULLY. AwardEn Response uses automated and AI-based methods to draft responses. Output is a starting point that a qualified person must review before anyone relies on it or submits it to a third party.
How it works. The Service uses automated processing and third-party AI models to extract requirements from Customer's uploaded documents, match them to Customer's approved Knowledge Records, and generate cited draft responses. The Service is designed to generate substantive answers only from approved knowledge, or from information an Authorized User provides, and to attach citations to the source records.
Output is provided "as is" and requires human review. Although the Service is designed to ground answers in Customer's approved knowledge and to cite sources, AI systems can produce results that are inaccurate, incomplete, outdated or unsuitable for a particular purpose. We do not warrant that Output is accurate, complete, compliant or fit for any purpose, and we do not guarantee any outcome (including that any proposal will be accepted, scored a particular way, or win any award or contract). Customer is solely responsible for reviewing, verifying, editing and approving all Output before relying on it or submitting it to any third party.
Not professional advice. Output is not legal, financial, compliance, security-certification or other professional advice. Customer should obtain independent professional review where appropriate, particularly for regulated or high-stakes submissions.
Customer responsibility for submissions. Customer is responsible for the content of any proposal, questionnaire or other document it submits, including the accuracy of representations it makes to a procuring party, whether or not the Service helped prepare it.
Service improvement. We may use aggregated, de-identified usage information that does not identify Customer or reveal Customer Content to operate, secure and improve the Service. We do not use Customer Content to train AI models for other customers, and our AI subprocessors are engaged on terms that do not permit them to use Customer Content to train their models.
8. Confidentiality
Definition. "Confidential Information" means non-public information disclosed by one party to the other that is designated confidential or that reasonably should be understood to be confidential given its nature and the circumstances. Customer Content is Customer's Confidential Information. The Service's non-public features and technology are our Confidential Information.
Obligations. Each party will (a) use the other's Confidential Information only to exercise its rights and perform its obligations under these Terms, and (b) protect it with at least reasonable care and no less protection than it uses for its own similar information. We will not disclose Customer Content except to our personnel and subprocessors who need it to provide the Service and who are bound by confidentiality obligations, or as required by law (with notice where legally permitted). These obligations do not apply to information that is or becomes public through no fault of the receiving party, was known without a duty of confidentiality, is independently developed, or is rightfully received from a third party.
9. Intellectual property
Our IP. We and our licensors own all right, title and interest in and to the Service, including all software, workflows, user interfaces and documentation, and all related intellectual property rights. Except for the limited rights expressly granted in these Terms, no rights are granted to Customer. Customer owns Customer Content and, as between the parties, the Output generated from its own Customer Content, subject to our and our licensors' underlying rights in the Service.
Feedback. If Customer provides suggestions or feedback, Customer grants us a perpetual, irrevocable, royalty-free license to use it without restriction or obligation.
10. Acceptable use
Customer will not use the Service to: (a) upload content it lacks the right to use; (b) infringe intellectual property or violate privacy or confidentiality rights; (c) upload unlawful, defamatory or harmful content; (d) attempt to gain unauthorized access to the Service or other customers' data; (e) transmit malware or interfere with the Service; (f) use automated means to access or scrape the Service; or (g) misrepresent AI-generated Output as independently verified where it has not been. We may investigate suspected violations and suspend access to protect the Service or other customers.
11. Third-party services and subprocessors
The Service relies on third-party providers, for example for hosting, storage, background processing, email delivery, error monitoring, payment processing and AI model access. A current list is in our Privacy Policy. We remain responsible for our subprocessors' handling of Customer Content to the extent required by these Terms and applicable law.
12. Support and availability
We provide support by email at support@awardenresponse.com. We aim to keep the Service reliably available, but it is provided without a formal uptime commitment or service-level agreement unless we agree a separate written one. We may perform maintenance and may modify or discontinue features from time to time.
13. Term, termination and data
Term. These Terms apply for as long as Customer has an account or an active subscription.
Cancellation by Customer. Customer may cancel at any time from Settings, Billing in the Service. Cancellation stops the next renewal, and access continues through the end of the paid period. Refunds are covered by Section 5.
Suspension or termination by us. We may suspend or terminate access for breach of these Terms, non-payment, or to comply with law or protect the Service or others. We will use reasonable efforts to give notice where practicable.
Effect of termination. On termination, Customer's right to use the Service ends. Customer is responsible for exporting Customer Content before its account closes. We will make Customer Content available for export for 30 days after termination, after which we may delete it in the ordinary course, subject to legal retention requirements and backups that expire on our normal schedule.
Survival. The sections on Customer Content ownership, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, governing law, and any accrued payment obligations survive termination.
14. Disclaimer of warranties
THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR OUTPUT WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE OR WILL PRODUCE ANY PARTICULAR RESULT. CUSTOMER'S USE OF THE SERVICE AND OUTPUT IS AT ITS OWN RISK.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOST OR INACCURATE DATA, OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS INCLUDES ANY LOSS ARISING FROM CUSTOMER'S RELIANCE ON OR SUBMISSION OF OUTPUT, OR FROM A PROPOSAL NOT BEING SELECTED OR AWARDED.
EXCEPT FOR CUSTOMER'S PAYMENT OBLIGATIONS AND CUSTOMER'S INDEMNIFICATION OBLIGATIONS, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES CUSTOMER PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE LIABILITY.
Some jurisdictions do not allow certain limitations, so some of the above may not apply to Customer. Nothing in these Terms limits liability that cannot be limited by law.
16. Indemnification
Customer will defend, indemnify and hold us harmless from third-party claims and related losses arising from (a) Customer Content, including competitor or public-records materials Customer uploads; (b) Customer's use of the Service or Output, including any submission Customer makes to a third party; or (c) Customer's breach of these Terms or violation of law.
17. Changes to the Service and these Terms
We may modify these Terms from time to time. If we make material changes, we will give reasonable notice (for example, by email or in the Service) before they take effect. Continued use of the Service after changes take effect means Customer accepts them. If Customer does not agree to the changes, Customer must stop using the Service. We may also update, improve or discontinue features of the Service.
18. Governing law and disputes
These Terms are governed by the laws of the State of Montana, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Yellowstone County, Montana for any dispute arising out of or relating to these Terms.
19. General
Entire agreement. These Terms, together with the Plan details shown at purchase and our Privacy Policy, are the entire agreement between the parties on this subject and supersede prior agreements. If Customer and we sign a separate written agreement for the Service, that agreement controls to the extent it conflicts.
Assignment. Customer may not assign these Terms without our consent, except to a successor in a merger or sale of substantially all its assets. We may assign these Terms to an affiliate or in connection with a merger, acquisition or sale.
Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
Notices. We may give notices by email or through the Service. Customer will send legal notices to support@awardenresponse.com and by mail to the address in Section 20.
Severability and waiver. If any provision is unenforceable, the rest remains in effect. Failure to enforce a provision is not a waiver.
No third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
Relationship. The parties are independent contractors; these Terms create no partnership, agency or employment relationship.
